Reducing The Risk Of Stock Pledge, Huafu Investment, The Controlling Shareholder Of Meibang, Plans To Transfer 2.16% Of The Company'S Shares

On January 26, Shanghai MetS Bonwe Clothing Co., Ltd. (hereinafter referred to as "Meibang apparel") issued a notice on the agreement of controlling shareholders to transfer part of the company's equity, and planned to transfer 2.16% of the company's shares to Lai Xingyu.

According to the announcement, Meibang clothing recently received a notice from Shanghai Huafu Investment Co., Ltd., the company's controlling shareholder and actual controller, and signed a share transfer agreement with Mr. Lai Xingyu and Zhongtai Securities Co., Ltd. (hereinafter referred to as "Zhongtai securities") on January 26, 2021. Huafu investment intends to transfer 54.27 million shares of the company held by it to Mr. Lai Xingyu, accounting for 2.16% of the total shares of the company, so as to repay part of its pledge debt in China Thailand securities and reduce the risk of stock pledge.

For the purpose of the share transfer, Meibang apparel said that the controlling shareholder intends to transfer some shares through agreement, repay the stock pledge financing loan with the share transfer price, reduce the risk of stock pledge, and optimize the shareholding structure and financial status of the controlling shareholder. The transfer of shares under this agreement will not change the controlling shareholder and actual controller of the company, and will not affect the company's financial status, asset value and sustainable operation ability, and will not damage the interests of the company and small and medium-sized investors.
