Party B:

Party A shall invest in the establishment of the company, which is the nominal investor of the company's industrial and commercial registration.

In order to clarify the rights and obligations of both sides, the following agreements are reached:

Party A, as the actual investor of the company, enjoys the ownership and disposition right of the company assets.

Two, Party B, as the investor in the name of the company, has no actual capital contribution, and acknowledges that the funds in the company's capital verification report and all the funds invested in the company's business process belong to Party A, and Party B does not advocate the right.

Three. The right of management and operation of the company shall be exercised by Party A. Party A shall ensure that the operation of the company complies with the provisions of the state laws, regulations and policies, and pays taxes and performs other obligations in accordance with the law.

Four, the legal liability arising from the company's operation is not related to Party B, and the loss of Party B's economic activities is borne by Party A.

Five. Party B has the right to know the company's business status.

Six, when a company needs to change its shareholders, Party B shall cooperate with Party A. Party A shall pay the labor cost arising from Party B.

Seven. This agreement is in duplicate and signed by both parties.

Eight. The two parties hold one copy of each agreement, witness a lawyer and have the same legal effect.
